To incorporate a limited company |

Procedure
You need to get a certificate of incorporation. Choose a company name you want to incorporate. Then you must first check for uniqueness of the proposed name for your company at the Companies Registry . You can conduct a name search on companies free of charge in the Public Computer Terminal Room on the 13th floor of the same building. No same or similar name can be registered in Hong Kong.
Documents required for registration
Memorandum of Association (MA)
It must be printed and contain:
- The company's name, either in English or Chinese or both. In case of a company limited by shares or guarantee, then the English name must end with 'Limited', and a Chinese name must end with '¦³¤½¥q'
- Address of the registered office situated in Hong Kong,
- Liability of members is limited,
- Amount and division of shares the company proposes to be registered,
- The number of shares taken up by each subscriber and there must be at least 2 shares having subscribed,
- The signatures of at least 2 subscribers in the presence of a witness who attests the signature.
Articles of Association (AA) of the intended company
It should satisfy the following requirements:
- It must be printed in English or Chinese,
- Its paragraphs are numbered consecutively,
- Each subscriber to the Memorandum of Association in the presence of a witness who attests the signature signs it,
- The internal regulations of the company may adopt all or any of those contained in Part II of Table A in the Companies Ordinance (Chapter 32 of the Laws of Hong Kong),
- A private company must state that it is private.
A statutory declaration of compliance
A covering letter stating the intended company name, the presenter's name, address, contact telephone number and fax number
Declaration of Compliance
The Declaration should be made by either a solicitor engaged in the formation of the company or by a director or secretary named in the Articles of Association.

For companies having share capital
An application fee of HK$1,720 (US$221) subjec t to a refund of HK$1,425 (US$183) for unsuccessful application; plus a capital fee of HK$1 (US$0.13) for every or part of HK$1,000 (US$128) of share capital.
For companies without share capital
An application fee of HK$170 to HK$1,025 (US$22 - US$132) depending on the number of members.
