Registration of an oversea company
Procedure

If your company is incorporated outside Hong Kong and want to set up a business in Hong Kong, then you must apply for registration within one month of establishing a place of business in Hong Kong. You need to get a certificate of registration

Documents and information required for registration

The following documents have to be delivered to the Registrar of Companies:

  1. a certified copy of the charter, statute, or memorandum and articles of the company or other instrument defining the company's constitution;
  2. a specified form F1http://www.info.gov.hk/cr/common/index.htm reporting
    1. the particulars of directors and secretary,
    2. the particulars of the person(s) authorized to act in Hong Kong on behalf of the company, i.e. the authorized representative*
    3. the principal place of business in Hong Kong and in the place of incorporation, and
    4. the registered office in the place of incorporation;
  3. Memorandum of Appointment / Power of Attorney authorizing the person(s) reported in b (ii) above;
  4. A certified copy of the company's Certificate of Incorporation (or its equivalent);
  5. A certified copy of the latest accounts of the company, unless exemption has been granted by the Registrar of Companies upon application.
Notes: * Authorized Representative - a firm of solicitors or professional accountants maybe appointed but otherwise neither a company nor a partnership can be appointed.

If the documents in any items of (a), (c), (d) and (e) are in a language other than Chinese or English, a certified translation in Chinese or English should also be filed.

If the translation is made in:

Hong Kong, the competence of the translator can be certified by a notary public in Hong Kong or a solicitor of the High Court of Hong Kong.
A foreign country, the competence of the translator can be certified by a notary public in the place where the translation is made or by such other person as may be specified by the Registrar of Companies.

Registration fee: An application fee of HK$1,720 (US$221) plus HK$20 (US$2.56) for registration of a document required to support an application.
